Terms of Service

These Terms of Service ("Terms") govern your use of the Conversion Funnel service (the "Services") provided by Christopher Hilton ("we," "us," or "our") at https://conversion-funnel.ai. By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. The Services

Conversion Funnel is a web-based tool for visualizing and analyzing multi-stage conversion processes — sales pipelines, recruiting funnels, marketing campaigns, SaaS onboarding flows, and similar. Users build a funnel by configuring stages and conversion rates and see the funnel rendered live with stage volumes and overall conversion percentage. The Services include a free tier (preset funnel templates, custom funnel editor, JSON export, share links, presentation mode, snapshots, comparison) and a paid Pro tier that adds an AI-powered funnel assistant, cloud sync across devices, persistent share links, and PNG/PDF export.

You may use the Services for personal use or internal business use. You may not use the Services to provide services to third parties commercially, or to resell, sublicense, or white-label the Services.

2. Eligibility

You must be at least 18 years of age, or the equivalent age of majority in your jurisdiction, to use the Services. By using the Services, you represent that you meet this requirement, or that you are the parent or guardian of a minor whose use of the Services you consent to.

3. Accounts

Some features of the Services require an account, which you may create directly with an email and password or by linking a Google or Microsoft account through our authentication provider (Clerk). You agree to provide accurate and complete information when creating an account and to keep that information current. You are responsible for the security of your account credentials and for all activity that occurs under your account.

You may not sell, transfer, or otherwise convey your account to another person.

4. Subscriptions, Auto-Renewal, and Cancellation

The paid Pro tier is offered as a recurring monthly subscription. The current price is $9.00 USD per month. Payment is processed by Paddle.com Market Ltd. ("Paddle"), which acts as Merchant of Record for all subscription transactions. By subscribing, you also agree to Paddle's terms.

Auto-renewal. Your subscription will automatically renew at the end of each billing period at the then-current price, unless you cancel before the renewal date. We will notify you in advance of any price change with enough time to cancel before the change takes effect.

Upon cancellation, you retain Pro access through the end of the current paid billing period; renewal will not occur.

5. Refunds

Refunds are governed by our separate Refund Policy, which forms part of these Terms.

7. User Content

You retain ownership of any content you create, upload, or store using the Services, including custom funnel configurations, stage labels, numeric values, and any associated metadata ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to host, store, copy, transmit, display, and process the User Content solely as necessary to operate and provide the Services to you, including delivering shared funnel links to third parties at your direction.

You represent and warrant that you have all rights necessary to grant this license, and that your User Content does not infringe any third-party intellectual property right, privacy right, or other legal right.

We have no obligation to monitor or moderate User Content, but we reserve the right to remove or refuse to host User Content that we believe, in good faith, violates these Terms or any applicable law.

8. AI Features

The Pro tier includes an AI assistant powered by third-party large language model providers, currently Anthropic, Inc. ("AI Service Providers"). The AI assistant is opt-in: it operates only when you actively invoke it. When you use the AI assistant, your prompts and the relevant context (including your current funnel configuration) are transmitted to the AI Service Provider for processing. AI-generated outputs are returned to you for review. We do not store AI conversations beyond what is necessary to deliver the response, and we do not use your prompts to train AI models. Use of the AI assistant is also subject to the AI Service Provider's terms and policies. To opt out, simply do not use the AI assistant.

9. Third-Party Services and Links

The Services rely on third-party service providers, including Paddle (payments), Clerk (authentication), Anthropic (AI), Amazon Web Services (hosting), and Google (Drive integration and optional sign-in). Your use of these services through Conversion Funnel may also be subject to those providers' separate terms and privacy policies. We do not control and are not responsible for third-party services or content linked from the Services. Visiting third-party sites is at your own risk.

10. Intellectual Property

The Services, including all software, design, text, and visual elements (excluding User Content), are owned by us or our licensors and are protected by copyright, trademark, and other intellectual property laws. Except for the limited rights expressly granted to you in these Terms, you receive no other rights in the Services. You may not copy, modify, distribute, sell, or create derivative works of the Services without our prior written consent.

11. Privacy

Our handling of personal information is described in our Privacy Policy, which forms part of these Terms. Our use of cookies and similar technologies is described in our Cookie Policy.

12. Copyright Infringement (DMCA)

If you believe that content available on or through the Services infringes one or more of your copyrights, please notify us in writing at chris@dctank.com. Your notice should include: (a) identification of the copyrighted work claimed to have been infringed; (b) identification of the allegedly infringing material and its location on the Services; (c) your contact information; (d) a statement that you have a good-faith belief that the use is not authorized; (e) a statement, under penalty of perjury, that the information is accurate and that you are authorized to act on behalf of the copyright owner; and (f) your physical or electronic signature.

13. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED. ANY OUTPUT GENERATED BY THE AI ASSISTANT IS PROVIDED FOR INFORMATIONAL PURPOSES ONLY AND DOES NOT CONSTITUTE PROFESSIONAL ADVICE.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE LESSER OF (A) THE TOTAL AMOUNTS YOU HAVE PAID US FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Nothing in these Terms limits liability for fraud, gross negligence, willful misconduct, or any other liability that may not be limited under applicable law.

15. Indemnification

You agree to indemnify, defend, and hold harmless Christopher Hilton from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney fees) arising from or related to: (a) your breach of these Terms; (b) your User Content; (c) your violation of any applicable law or third-party right; or (d) your use of the Services in a manner not authorized by these Terms.

16. Term and Termination

These Terms remain in effect while you use the Services. You may terminate at any time by canceling your subscription (if any) and discontinuing use of the Services. We may suspend or terminate your access at any time if we believe you have violated these Terms, or for any other reason in our reasonable discretion, with or without notice. Sections that by their nature should survive termination — including User Content license (for content already shared), intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, and governing law — will survive.

17. Dispute Resolution; Arbitration Agreement

Informal resolution first. Before filing any formal claim, you and we agree to first attempt to resolve the dispute by sending written notice to the other party describing the dispute, then engaging in good-faith negotiations for at least thirty (30) days.

Binding arbitration. If informal resolution does not succeed, any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, in San Francisco, California. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

Arbitration fees. We will pay arbitration fees to the extent required to make arbitration cost-equivalent to litigating in court, and in any event will pay any portion of the fees that the arbitrator deems excessive in light of the parties' relative financial means.

Class action waiver. You and we each waive any right to bring claims as a plaintiff or class member in any purported class, consolidated, or representative action. Arbitration may be conducted only on an individual basis.

Small claims carve-out. Either party may bring an individual claim in small claims court in San Francisco, California, instead of arbitration, so long as the claim is within that court's jurisdictional limits.

If arbitration is unenforceable. If the arbitration agreement is found to be unenforceable for any reason, any resulting dispute will be brought exclusively in the state or federal courts located in San Francisco, California, and the parties consent to the personal jurisdiction of those courts.

18. Time Limit on Claims

Any claim arising out of or relating to these Terms or the Services must be filed within one (1) year after the cause of action accrues, or the claim is permanently barred.

19. Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

20. Changes to These Terms

We may modify these Terms from time to time. We will notify you of material changes by email and by posting the updated Terms with a new "Last updated" date in advance of the changes taking effect. Your continued use of the Services after a change becomes effective constitutes acceptance of the updated Terms.

21. General

Entire agreement. These Terms, together with the Privacy Policy, Cookie Policy, and Refund Policy, constitute the entire agreement between you and us regarding the Services and supersede any prior agreements on the same subject matter.

Severability. If any provision of these Terms is held to be unenforceable, the remaining provisions will continue in full force and effect.

No waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, sale of assets, or similar business transaction.

Force majeure. We will not be liable for any delay or failure to perform caused by events beyond our reasonable control, including natural disasters, acts of government, network outages, or failures of third-party service providers.
